1. Agreement to Terms

By accessing or using the services of NJG Solutions ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access or use our services.

2. Services Description

NJG Solutions provides DevOps as a Service, including but not limited to:

  • Cloud infrastructure design and management
  • CI/CD pipeline implementation and maintenance
  • Application modernization and migration
  • Cost optimization and FinOps practices
  • DevOps consulting and advisory services
  • AI and automation solutions

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Service Packages

We offer various service packages (Foundation, Growth, Scale) as described on our website. Package features, pricing, and terms are subject to change. Specific terms for each package will be detailed in a separate service agreement.

All packages are outcome-driven. We focus on delivering business results rather than hourly consulting. Specific deliverables and timelines will be agreed upon in writing before service commencement.

4. User Obligations

When using our services, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable laws and regulations
  • Not use our services for any illegal or unauthorized purpose
  • Not interfere with or disrupt our services or servers
  • Not attempt to gain unauthorized access to our systems

5. Payment Terms

5.1 Pricing

All prices are stated in the currency indicated on our website. Prices are subject to change, but changes will not affect services already contracted.

5.2 Billing

Services are billed monthly in advance unless otherwise agreed in writing. Payment is due within the terms specified in your service agreement.

5.3 Refunds

Refund policies will be specified in your individual service agreement. Generally, services are provided on a subscription basis and refunds are handled on a case-by-case basis.

5.4 Late Payments

Late payments may result in service suspension or termination. We reserve the right to charge interest on overdue amounts as permitted by law.

6. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by NJG Solutions or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes but is not limited to business plans, technical information, and customer data.

Confidentiality obligations will survive termination of these Terms and will be detailed further in individual service agreements.

8. Service Level Agreements

Specific service level agreements (SLAs), response times, and availability guarantees will be detailed in individual service agreements. General service expectations are outlined in our package descriptions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NJG SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless NJG Solutions and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit or transmit through our services

11. Termination

11.1 By You

You may terminate your service agreement in accordance with the terms specified in your individual service agreement. Notice requirements will be detailed in that agreement.

11.2 By Us

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms or for any other reason we deem necessary.

11.3 Effect of Termination

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Dispute Resolution

Any disputes arising from or relating to these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless otherwise required by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NJG Solutions operates, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any individual service agreements, constitute the entire agreement between you and NJG Solutions regarding our services and supersede all prior agreements and understandings.
